Steps to Incorporate a Company Limited by Guarantee
The incorporation process requires the submission of specific documents to the Companies Office of Jamaica (COJ):
- Business Registration Form (BRF)
- Articles of Incorporation (Form 1B)
- Beneficial Ownership Return (BOR Form B)
Once these documents are completed and approved, the COJ incorporates the company, granting it legal status. At this stage, the organisation can proceed with the application for charitable status.
Applying for Charitable Status

- Application fee as required by the DCFS.
Once submitted, the DCFS processes the application and coordinates with the Tax Administration Jamaica (TAJ), which must issue a “no objection” before final approval. If the TAJ raises concerns, adjustments may be necessary, such as amending the company’s Articles of Incorporation. Upon approval, the DCFS issues a Certificate of Registered Charitable Organisation, granting the organisation tax benefits under various Jamaican laws.
Renewing Your Jamaican Charity
Registered charities must renew their status periodically to maintain compliance and continue benefiting from tax exemptions. The renewal process has been streamlined to minimise delays while ensuring organisations remain in good standing.
Key Renewal Requirements
- Renewal applications should be submitted at least two months before or within 180 days after the expiration date.
- The new certificate will be valid for two years unless the Charities Authority deems a shorter period necessary.
- If no changes have occurred in the organisation’s governance structure, constitutive documents, tax registration, or address, the renewal is automatic.
- If changes have occurred in the governance structure or tax status, the application must undergo an additional review by TAJ.
Processing times vary, with straightforward renewals taking 15 working days, while cases requiring TAJ review may take up to 30 working days.
